Direct answer

MorpheusOS prepares work and you approve it. These Terms require an authorised person to review an output before it is published, sent, relied on externally or used for a regulated decision. Whether a workflow stops for that review is how it is configured, and the configuration is yours. Autonomy is configured per workflow, never assumed.

About these terms

These Terms of Service govern access to and use of MorpheusOS, including the MorpheusOS website, application, workflows, integrations, AI-assisted features and related services. By accessing or using MorpheusOS, you agree to these Terms on behalf of yourself or the organisation you represent.

If you use MorpheusOS under a signed agreement with us, that signed agreement applies to the extent it conflicts with these Terms.

What MorpheusOS does

MorpheusOS is a governed AI operating layer for business workflows. It combines workspaces, agents, files, memory, reports, connected applications, playbooks, scheduled tasks and approval-aware execution so teams can prepare work, review it and run approved actions through their existing systems.

MorpheusOS is an operating layer above your business tools. It is not a replacement for your legal, compliance, financial, employment, medical, safety or professional decision-making processes.

Human review and approval

MorpheusOS prepares. You approve.

Unless a signed agreement expressly says otherwise, these Terms require that outputs, recommendations, prepared content, messages, documents, data enrichments and proposed actions generated through MorpheusOS are reviewed and approved by an authorised human user before they are published, sent, relied on externally, used for a regulated decision, or used to create a binding commitment.

That is an obligation you accept, not a control we apply on your behalf. MorpheusOS provides approval gates, authority modes, draft-only and test operation, and role-based permissions. Which of them a given playbook or workflow uses is a configuration decision, and whether a run actually stops for a person depends on that decision rather than on anything these Terms can enforce.

Workflows may be configured by you, or built with you under an agreed scope. Where an approval boundary is set out in a signed statement of work, that scope governs what we delivered. Where you change that configuration, remove or bypass an approval step, or build or run a workflow without one, that is your decision and your responsibility — including for outputs acted on without the review these Terms require.

You are responsible for deciding whether an output is accurate, appropriate, lawful and fit for your intended use.

AI outputs and limitations

MorpheusOS uses AI systems and connected data sources to assist with workflows. AI outputs may be incomplete, inaccurate, outdated, biased, unsuitable for your context, or inconsistent with legal, regulatory or platform requirements.

You must not rely on MorpheusOS as the sole basis for decisions that materially affect a person, customer, employee, supplier, market participant or legal obligation.

MorpheusOS does not provide legal, financial, tax, medical, safety, engineering, employment, compliance or other regulated professional advice.

Autonomy is configured and bounded

MorpheusOS may support automated or semi-automated workflow steps. Autonomy is configured, permissioned and bounded by the customer environment, connected applications, user roles, workflow rules and signed scope.

MorpheusOS workflows and playbooks may run in different authority modes. Some workflows may be limited to test or draft-only operation, while workflows that send messages or take client-facing action require appropriate configuration and approval.

MorpheusOS will not be treated as having authority to publish content, contact third parties, spend money, bind your organisation, alter regulated records, change legal rights, or make consequential decisions unless that authority is expressly configured and permitted under a signed agreement.

Your responsibilities

You are responsible for:

  • providing accurate instructions, source materials, permissions and system access;
  • ensuring your use of MorpheusOS is lawful in each jurisdiction where you operate;
  • reviewing and approving outputs before external use;
  • maintaining appropriate human oversight;
  • ensuring connected applications permit the intended workflow;
  • obtaining required consents for personal information and marketing activity;
  • complying with employment, privacy, consumer, competition, intellectual-property, anti-spam, platform and sector-specific laws;
  • keeping account credentials secure; and
  • promptly notifying us of suspected misuse, unauthorised access or unsafe output.

Prohibited uses

You must not use MorpheusOS to:

  • break the law or evade legal, regulatory or platform restrictions;
  • generate, publish or distribute deceptive, misleading, fraudulent or harmful content;
  • impersonate a person or misrepresent that AI-generated content was human-authored where disclosure is required;
  • make unlawful employment, credit, education, housing, healthcare, insurance, criminal justice or other consequential decisions;
  • collect, infer or process sensitive personal information without a lawful basis;
  • conduct unlawful scraping, surveillance, profiling, spam, harassment or discrimination;
  • bypass security controls, rate limits, access permissions or content restrictions;
  • upload malware, secrets, credentials or data you are not authorised to process;
  • use outputs to provide professional advice without qualified human review; or
  • use MorpheusOS in a way that creates unreasonable safety, legal, privacy or reputational risk.

High-risk and consequential uses

You must not use MorpheusOS for high-risk or consequential decision-making unless we have expressly agreed in writing and appropriate safeguards are in place.

High-risk or consequential uses include decisions or recommendations that materially affect legal rights, employment, worker management, credit, lending, housing, education, healthcare, insurance, essential services, public benefits, criminal justice, safety-critical operations or similar matters.

Where a workflow may affect a person in a material way, you are responsible for ensuring appropriate notice, transparency, human review, appeal rights, data correction rights and impact assessment processes are in place.

Customer data

Customer Data means the data, files, prompts, instructions, documents, records, messages, outputs, knowledge-base materials, credentials and connected-application data that you or your authorised users submit to or process through MorpheusOS.

As between you and MorpheusOS, you own your Customer Data. We do not claim ownership of your Customer Data.

You grant us the rights needed to host, process, transmit, secure, display, back up and otherwise handle Customer Data to provide MorpheusOS and related services.

No training on customer content without permission

We do not use Customer Data to train public or foundation AI models unless you expressly agree in writing.

We may use de-identified, aggregated or operational data to maintain security, monitor reliability, improve product performance, prevent abuse and understand usage, provided it does not identify you, your users or your confidential content.

Our intellectual property

MorpheusOS owns and retains all rights in the MorpheusOS platform, software, workflow engine, orchestration layer, templates, methods, prompts, connectors, system designs, reusable workflow patterns, documentation, analytics, improvements, know-how and execution capabilities.

Unless a signed agreement says otherwise, termination of your subscription does not transfer ownership of the MorpheusOS application, execution layer, source code, prompts, orchestration logic or reusable system capabilities to you.

You may export your Customer Data and approved outputs in accordance with these Terms and any signed agreement.

Third-party services and connected applications

MorpheusOS may connect to third-party applications, model providers, data sources, APIs, CRMs, communication tools, document systems, cloud services and other platforms.

Connected applications remain subject to the customer’s authorisations and the third-party provider’s own terms, APIs and platform rules. MorpheusOS distinguishes shared service credentials from personal user credentials. Personal credentials are intended to be used only by or on behalf of the connected user, and workflows may fail or require configuration where the acting user has not connected the required account.

We are not responsible for third-party service outages, permission changes, platform restrictions, API limits, billing changes or data made unavailable by a third party. You are responsible for ensuring you have the right to connect each application and process data through MorpheusOS.

Public sources, licensed sources and scraping

Some workflows may use public, licensed or customer-provided sources. You are responsible for ensuring that your instructions and intended use comply with applicable laws, source terms, robots restrictions, licence terms, confidentiality obligations and platform rules.

Unless we expressly agree otherwise, MorpheusOS does not guarantee that any website, social platform, database or third-party source will remain accessible, complete, accurate or legally usable for your intended purpose.

Website, CRM and social publication

MorpheusOS may prepare content for websites, LinkedIn, CRM systems, email tools and other marketing or sales applications.

Unless a signed statement of work expressly includes direct publication or distribution, MorpheusOS does not post directly to your LinkedIn account, website, CRM, marketing automation system or social channels on your behalf.

For marketing workflows, the default model is:

  • MorpheusOS collects intelligence and prepares content;
  • your team reviews, edits and approves the material;
  • your team publishes or distributes the content; and
  • where technically supported and contractually agreed, MorpheusOS may inject approved content into your CRM, CMS or marketing system for human approval and distribution.

Complete end-to-end automation may not be possible where a platform prohibits it, where your hosting or CRM does not support it, or where the required integration is outside the agreed scope.

Model providers, tokens and usage costs

MorpheusOS may use third-party or customer-configured model providers to process workflow instructions, files and outputs. Model usage and estimated token costs may be tracked by provider, model, workspace, user and surface.

By default, you supply your own model provider account or API key. You contract with each provider directly and pay that provider directly, so its charges stay visible to you rather than being marked up through us. Your use of those models is governed by your agreement with that provider, including its own acceptable use rules, rate limits and availability terms.

Because that access is yours, a workflow may fail or pause where a key is missing, revoked, out of credit, rate-limited or restricted by the provider. Keeping provider access valid and sufficiently funded is your responsibility.

Where we expressly agree in writing to supply model provider access instead, the cost of that usage is recovered as part of the service. How much is recovered depends on the plan, and the basis that applies to you is set out in your order form or signed agreement before you sign it.

API and usage costs charged by other third-party applications you authorise are yours on the same footing, unless your signed agreement says otherwise.

We will give reasonable notice before changing how usage costs are charged or recovered.

Fees, payment and taxes

There is no public sign-up. MorpheusOS is not sold through an online checkout or a self-service trial. Customers are onboarded directly by us against a defined scope, and your fees, billing period, renewal terms, late payment rights and suspension rights are set out in your order form or signed agreement rather than on this website.

Payments are processed by Stripe. Card and payment details are handled by Stripe under its own terms and are not stored by MorpheusOS. Where your order form provides for recurring payment, the payment method you authorise is charged for each billing period until the agreement is cancelled under its terms.

Unless your order form says otherwise, fees are exclusive of GST, sales tax, VAT and similar taxes, and those are payable by you where they apply.

Where subscription access is billed monthly, access may be suspended if payment is not received within the applicable grace period.

We will give reasonable notice before changing the fees that apply at your next renewal.

Security

We use administrative, technical and organisational safeguards designed to protect Customer Data. See Security and subprocessors for what those controls are and how they are configured.

No system is completely secure. You are responsible for configuring user access appropriately, securing your credentials, reviewing connected-app permissions and promptly reporting suspected security incidents.

Privacy

Our Privacy Policy explains how we collect, use, disclose, store and protect personal information.

You must ensure that any personal information you process through MorpheusOS is collected and used lawfully, with required notices, consents and permissions.

Suspension

We may suspend access to MorpheusOS if:

  • payment is overdue;
  • use creates security, legal, privacy, safety or operational risk;
  • required permissions or licences are missing;
  • a connected application or provider requires suspension;
  • you breach these Terms or a signed agreement; or
  • suspension is needed to protect MorpheusOS, customers or third parties.

Where practical, we will give notice and a reasonable opportunity to resolve the issue.

Termination and offboarding

On termination or expiry, your right to access MorpheusOS ends unless otherwise agreed.

You may request export of Customer Data in a commonly used format, subject to technical feasibility, security requirements, legal obligations and any signed agreement.

Unless a signed agreement says otherwise, termination does not transfer the MorpheusOS application, execution layer, source code, workflow engine, prompts, orchestration logic, connectors, templates or reusable system capabilities to you.

Customer Data will be returned, exported, retained or deleted in accordance with our retention policy, legal obligations and any signed agreement. See Regions, retention and offboarding.

Changes to these terms

We may update these Terms from time to time. If changes materially affect your rights or obligations, we will provide notice appropriate to the nature of the change.

We will not quietly change these Terms or our Privacy Policy to materially expand our rights to use Customer Data for AI training without appropriate notice and, where required, consent.

Disclaimers

MorpheusOS is provided as a business workflow and decision-support system. We do not warrant that outputs will be accurate, complete, current, uninterrupted, error-free, suitable for your intended use, or compliant with laws that apply specifically to your business unless expressly agreed in a signed agreement.

You remain responsible for human review, professional advice, compliance decisions and external use of outputs.

Limitation of liability

Subject to the exclusions below, each party’s total liability under these Terms is capped at the fees you paid in the 12 months before the claim arises. This cap applies to all claims, whether arising in contract, tort, statute or otherwise.

Nothing in these Terms excludes or restricts any rights you have under the Australian Consumer Law that by law cannot be excluded or restricted, including implied guarantees regarding quality, safety and fitness for purpose. To the extent the Australian Consumer Law permits, our liability for a breach of such a guarantee is limited to resupply of the service or the cost of resupply.

The following are not subject to the liability cap and may exceed it: your indemnification obligations under these Terms, breaches of confidentiality, claims for intellectual property infringement, our breach of these Terms for which we have received notice and failed to remedy within 30 days, or our wilful misconduct or gross negligence.

Loss arising from unreviewed reliance on an output is yours. Where a workflow is configured to act without the human review these Terms require, any loss arising from that workflow’s operation is yours. This includes workflows you configured, modified, removed approval steps from, or built without an approval gate. This does not apply to approval boundaries we delivered under a signed statement of work, unless you changed them.

Neither party is liable for indirect, incidental, consequential, special or punitive loss, including loss of profit, revenue, data, goodwill or business opportunity, even if advised of the possibility of such loss.

Governing law and disputes

These Terms are governed by the laws of New South Wales, Australia, without regard to its conflicts of law provisions. You and MorpheusOS each submit to the non-exclusive jurisdiction of the courts of New South Wales.

Before either party commences legal proceedings, both parties commit to attempt resolution through good-faith negotiation for 30 days, followed by mediation under the Australian Disputes Centre Mediation Rules, if either party requests it. The mediator will be jointly selected, and mediation costs will be shared equally. Nothing in this section prevents either party from seeking urgent injunctive or equitable relief.

For customers subject to US law, your order form or signed agreement may specify an alternative governing law and dispute resolution process. Any such provision overrides this section for you.
